These Terms are an agreement between you and 17333790 Canada Inc., carrying on business as Alderson. By accessing alderson.ai, creating an account, or using Beams, you agree to these Terms. If you use Beams for an organization, you confirm that you may bind that organization.
1. Accounts
You must provide accurate account information, keep your credentials secure, and promptly report suspected unauthorized use. You are responsible for activity under your account. You must be legally capable of entering this agreement and at least 18 years old or the age of majority where you live.
2. Using Beams
You may use Beams for lawful professional and educational purposes in accordance with documentation and plan limits. You may not misuse the Service, interfere with its operation, bypass access or security controls, probe for vulnerabilities without written authorization, upload malicious code, infringe rights, or use the Service to violate law. You may not copy, resell, or reverse engineer the Service except where applicable law expressly permits it.
3. Engineering responsibility
Beams is a calculation and workflow tool. It does not provide professional engineering advice, replace engineering judgment, or assume responsibility for a design. Outputs depend on the inputs, assumptions, code settings, and conditions supplied by the user. A qualified professional must independently review and approve inputs, calculations, conclusions, drawings, and reports before relying on them for construction, permitting, fabrication, procurement, or safety-critical decisions. You remain responsible for applicable codes, standards, professional obligations, and the final design.
4. Your content
You retain ownership of project information you submit and outputs generated from it. You grant Alderson the limited permission required to host, process, reproduce, and transmit that content solely to provide, secure, support, and maintain Beams. You confirm that you have the rights necessary to submit the content. We do not sell project content or use it to train shared artificial intelligence models.
5. The Service
Alderson owns Beams, its software, documentation, branding, and related intellectual property, excluding your content. We may improve, change, suspend, or discontinue features and may impose reasonable limits to protect security and reliability. Preview or free features may change or end. Paid plans, if offered, will be governed by the price and billing terms shown when you subscribe. Taxes are your responsibility unless stated otherwise.
We may suspend or terminate access for material breach, security risk, unlawful activity, non-payment, or conduct that threatens the Service or others. You may stop using Beams at any time. Sections intended by their nature to survive termination will survive.
6. Privacy and communications
Our Privacy Policy explains how we handle personal information, and our Data Use page explains how Beams handles project and operational data. We may send transactional messages needed to operate your account. Marketing communications will include an available opt-out.
7. Disclaimers and limitation of liability
To the maximum extent permitted by law, Beams is provided "as is" and "as available." Alderson disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted or error-free.
To the maximum extent permitted by law, Alderson will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business, or opportunity. Alderson's aggregate liability arising from the Service will not exceed the greater of CAD $100 or the amount you paid Alderson for Beams in the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law.
8. Indemnity
If you use Beams for an organization, that organization will defend and indemnify Alderson against third-party claims arising from its content, unlawful use, or material breach of these Terms, except to the extent caused by Alderson.
9. Governing law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Ontario have exclusive jurisdiction, except where consumer law requires otherwise.
10. General
These Terms, together with referenced policies and any applicable order, are the entire agreement concerning the Service. If part is unenforceable, the remainder continues. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Alderson may assign them as part of a reorganization, financing, or business transfer. We may update these Terms and will post the effective date and provide additional notice where required.
